Richard P. Borden
Practising extensively in the area of complex commercial transactions, Rick focuses on large-scale projects and financings in the energy sector including oil sands projects, pipeline projects, LNG projects, and wind farm projects. His clients include major Canadian banks and project sponsors and he has strong relationships with the key project lending specialists within the major Canadian banks.
He has also developed expertise in joint venture transactions in the oil and gas industry and often advises on matters such as voting, default and remedy provisions in joint venture agreements. Rick generally acts as the lead counsel on all of the transactions in which he is involved and is directly involved in structuring matters, due diligence investigations, negotiation of the key business terms and drafting from the term sheet stage through to final documentation.
In addition, he has been extensively involved in negotiating intercreditor agreements and third party consents and acknowledgements with third party project participants in various project financings. Whether acting for borrowers or lenders, Rick's strength lies in combining a high degree of technical expertise with a commercial approach which facilitates the successful completion of complex financings.

- Currently acting for TD as financial advisor to Synenco Energy Inc. in financing the development of the Northern Lights Oil Sands Project.
- Acted for Taylor NGL Limited Partnership on its recent acquisition and financing of the Harmattan gas processing complex.
Acted in 2004 for Taylor Gas Liquids in the acquisition and construction of various ethane and related pipeline with Nova Chemicals Corporation. - Acted in 2003 and 2004 for various issuers of U.S. notes to U.S. institutional investors.
