We represent asset originators, investors, swap counterparties, credit enhancement providers, structurers, administrators, issuers, rating agencies and other market participants in securitization transactions and other credit linked and asset-backed transactions funded through public offerings, private placements, commercial paper issuances and traditional debt financing.
We assist clients with complex structured finance and asset securitization transactions. Our Securitization team is a multidisciplinary group drawing lawyers from our corporate finance and securities, debt finance, tax, real estate, and insolvency and restructuring teams. Our ability to structure such transactions is based on the depth of knowledge within the firm of the securitization market and the legal, regulatory and accounting issues that affect securitization.
We also have significant expertise in the documentation and negotiation of various types of domestic and multi-jurisdictional cross-border transactions.

- Counsel to VW Credit Canada, Inc. in connection with its commercial paper funded retail loan securitization program
- Counsel to DBRS Ltd. in connection with its rating of notes issued by the Master Asset Vehicles in connection with the restructured third party asset-backed commercial paper
- Counsel to the Business Development Bank of Canada in connection with its purchase of $300 million of dealer floorplan receivable-backed notes from CNH Capital Canada Wholesale Trust
- Counsel to the Business Development Bank of Canada in connection with its purchase of $1.263 billion in auto-loan receivables-backed notes from GMAC Canada
- Counsel to the Business Development Bank of Canada in regards to its purchase of asset-backed notes issued by Fleet Leasing Receivables Trust-the bank’s first transaction completed under the Small Enterprise Tranche of the Canadian Secured Credit Facility
