Structured Sale and Leaseback Transaction

Acted for a major Canadian national corporation in connection with its $100 million structured sale/leaseback transaction, and its capital and operating leasing transactions.

Accounts Receivable Securitization

Acted on behalf of a major Canadian national corporation in connection with its $300 million accounts receivable securitization.

ISDA Master Agreement Derivatives Facilities

Acted for a number of Canadian exploration and production companies in connection with the establishment of their co-ordinated ISDA Master Agreement derivatives facilities among a number of Canadian, American, European and Japanese financial counterparties, and a financial institution in connection with the commencement of its derivatives trading activities.

Long-term Private Debt Placements

Over the last ten years we have acted on behalf of numerous U.S. and Canadian life insurance companies and institutional investors in connection with over 50 long-term private debt placements by Canadian issuers aggregating over $6 billion in notes issued.

Two of our lawyers are members of the American College of Investment Counsel.

International Borrowers Aggregate Over $10 Billion in Loans

Acted for major Canadian, American, European and Japanese banks on the investor side, and intermediate and large Canadian and American borrowers on the issuer side, aggregating over $10 billion in loan facilities.

Enerflex Systems Completes Debt Restructuring

In December 2006, Enerflex Systems Ltd., a wholly-owned subsidiary of Enerflex Systems Income Fund completed a debt restructuring process that replaced its existing debt agreements. Issuance of $100.6 million senior secured notes via private placement to investors in Canada and the United States. Concurrently, a syndicate of lenders completed a  $150 million three year revolving bank credit facility.
