• Representing Earth First Canada Inc., a wind power developer, in its $140 million initial public offering of units and listing on the TSX
• Advising Loewen Ondaatje McCutcheon Limited, an investment bank, in the $6.9 million unit offering of Microplanet Technology Corp., a clean technology company
• Acting for Loewen Ondaatje McCutcheon Limited in the $18 million private placement of special warrants followed by a short-form prospectus of Western Wind Energy Corp., a wind power developer
• Advising Schneider Power Inc., a wind power developer, in its $2.7 million private placement offering of units and its merger by qualifying transaction with Water Capital Inc., which resulted in Schneider Power’s shares being listed on the TSX Venture Exchange
• Assisting cleantech companies with private placements and debt financings, and conducting audits of the IP status of the technologies. We are also providing branding advice to companies who make environmental or clean tech-type claims
• Providing litigation support relating to a cleantech term sheet in New York
• Advising a major power company on strategic carbon capture and storage initiatives
• Advising an international corporation on key commercial initiatives arising from the Green Energy Act
• Assisting a privately held cleantech company specializing in high-efficiency heating and cooling equipment in its initial $3.0 million private placement
• Advising a major oilsands producer in negotiating a grant agreement from the Government of Alberta for the development and implementation of advanced technologies for CO2 capture and sequestration
• Acting for a leading technology company in negotiating a grant agreement from the Government of Alberta for the development and implementation of clean burning coal gasification technology
• Advising a joint venture of oil and gas companies in negotiating research and development agreements with a leading Canadian University related to advanced technologies for oilsands development, production and refining
• Acting for a group of technology and producing companies to create a consortium to pursue projects for the development and application of CO2 capture and storage technologies related to coalbed methane, enhanced oil recovery, enhanced gas recovery, and storage in depleted oil and gas reservoirs and deep saline aquifers
• Advising several leading technology companies in the licensing of patented environmentally friendly oilsands production and refining technologies
• Advising a US corporation on CO2 pipeline initiatives
• Acting as counsel to Blue Source USA on the merger/acquisition of Baseline Emissions Management
• Representing Versant Partners Inc., an investment bank, in the execution of the Agent’s certificate in a TSX Venture Exchange Short Form Offering Document for Legend Power Systems Inc., a clean technology developer
• Advising a TSX-listed boiler technology company on accessing available government innovation and infrastructure funding
• Acting as a member of the Premier of Ontario’s Climate Change Advisory Panel and advising on mechanisms to encourage the development of cleantech
• Advising several provincial governments on climate change policy, environmental financing of cleantech projects
• Advising a federal-provincial task force on carbon capture and storage
• Advising the Ontario Ministry of Research and Innovation as an expert peer-review panel resource on cleantech proposals seeking government funding
