Infrastructure funds
We advise on all aspects of the formation, restructuring and operation of infrastructure funds. We believe, thanks to current and past experience with establishment of comparable funds in this sector, as well as acting for major institutional investors and lenders, that we are ideally placed to advise as to market practice and innovations in relation to the key issues for funds established to invest in these asset classes, particularly in the challenging environment we are in at present.
We regularly advise on establishment and fund raising, the preparation and negotiation of fund documents, the structuring of performance fees, carried interests and other incentive arrangements and related management, regulatory and compliance issues. We have knowledge of what are considered to be the market terms and frequently review and advise on the full range of fund term issues including liquidity matching, seed asset and pipeline issues, consent and control, fees and expenses, manager liability, keyman, investor protection and, when appropriate, on the preparation and negotiation of side letter terms.
