Anna Y. Putsykina

Anna joined Macleod Dixon in 2002 as an articling student and was subsequently promoted to associate.  She works closely with foreign clients assisting them in the acquisition of Russian companies and the establishment of joint ventures with Russian partners.  She works on major projects in the natural resource, telecommunications, banking and other sectors.

Anna’s expertise includes conducting due diligence reviews, assisting clients in obtaining, amending and transferring mineral licences and providing legal opinions on the status of mineral licences.  She is also retained to work on production sharing agreements.

Anna has built up considerable experience in assisting clients with private placements and regularly participates in the drafting and negotiating of IPO prospectuses for listings on stock exchanges in different legal jurisdictions and providing related advice.  Anna's work also involves negotiating and drafting legal documentation including agreements for sale and purchase of shares and related documents, shareholders’ and loan agreements, gas sales contracts and related documents and agency agreements for the sale of gas.

In addition to the above, Anna counsels clients on matters related to project finance and corporate and commercial matters with respect to the incorporation and maintenance of companies from a legal perspective, as well as on tax structuring and tax consequences covering a wide range of business activities.

Anna often participates in major international conferences.  At the Geominex Geology and Mining conference in June 2007 she gave a presentation entitled Foreign Investments in Subsoil Use: Crucial Legal Aspects which dealt with the topical and controversial theme of existing and forthcoming obstacles to foreign investment in subsoil use in Russia.
