Anna V. Rogach

After specializing at university in corporate law and arbitration and litigation, in 2003 Anna started working with one of the Big Four auditing firms and was soon appointed Senior Legal Consultant in Tax & Legal Services.  Anna joined Macleod Dixon as an associate in March 2007.

Anna has acted for a large Spanish production company in the structuring of the sale of the fixed assets of a Russian subsidiary which involved legal considerations such as minority shareholders’ rights and related corporate issues.  She has worked with major multinational companies on such specific issues as charter capital contributions, delimitation of authority within joint venture companies, and the establishment of offshore subsidiaries. 

In the sphere of anti-monopoly law, Anna played a pivotal role in obtaining consent from the antimonopoly authorities for the acquisition of a 60% interest valued at US$20 million in a major Russian dairy company.  She has also advised on anti-monopoly requirements, in particular in the context of acquisition of shares and assets.

Anna’s expertise extends to drafting and negotiating escrow agreements and a host of sale and purchase contracts.  One notable transaction involved drafting contracts with a total value of more than 40 million euros on behalf of a Swedish pharmaceutical company to take delivery of medicines under a federal reimbursement program with major Russian distributors.

Anna published an article in the Dvoynaya Zapis journal entitled The New Labour Code in August 2006.
