Vera Vynohrad
Vera practises in the area of corporate/commercial law, with an emphasis on banking and secured transactions, mergers and acquisitions, intellectual property and information technology.
Vera has extensive experience in the area of banking and secured transactions, having represented domestic and foreign banks and other lenders in numerous lending transactions and other financing-related matters. Her work has included loan structuring, preparation and negotiation of commitment letters, complex loan agreements, security documents and inter-creditor agreements. Vera has also been involved in equipment leasing, aircraft finance, subordinated debt transactions, asset-based loans and asset securitizations, as well as multi-lender financing transactions, including syndicated loans and participations. In addition, Vera has advised borrowers on a broad range of financing transactions. Her experience in this area also encompasses insolvency and bankruptcy matters, including enforcement of security, creditors’ rights, restructuring and workouts.
As a corporate/commercial lawyer, Vera has advised domestic and multi-national corporations in many industries, including manufacturing, retail, technology, transportation and telecommunications. She has represented such clients on matters which included mergers, joint ventures, stock and asset acquisitions and dispositions, product distribution arrangements, franchising and licensing, product labeling, product liability, corporate reorganizations, commercial contracts, leases, officers’ and directors’ liabilities, corporate governance, shareholders’ agreements, and debt and equity financing.
In the intellectual property/information technology area, Vera has advised clients on such matters as trade-marks, copyright, licensing of intellectual property rights, protection of trade secrets, software and hardware acquisition and distribution, source code arrangements, non-disclosure agreements and advertising campaigns.
